Ce spun dateleWhat the data says
Chișinău (VMS 1 an + 1,1 p.p.), Ceadîr-Lunga II (VMS 364 zile + 1,5 p.p.), clasa de 4 ani a emisiunii Costești (VMS 182 zile + 0,5 p.p.)
Municipal bond coupons have consistently stood above bank deposit rates and, in recent issues, at or above 1-year T-bill yields — a justified premium for a new instrument with limited secondary-market liquidity. Fixed coupons rose from 6.5–6.7% at the first issues of 2021 (Sângera, Ceadîr-Lunga) to 8.75–9.0% at Sireți (September 2025) and up to 9.5–10% at Ungheni and Leova (August 2026), closely tracking the monetary cycle: after the base rate bottomed at 3.6% (May 2024), the NBM's successive hikes amid the tariff shock and inflationary pressures — up to 9.0% in September 2026 — and the rise of 1-year T-bill yields above the 10% mark raised the cost of municipal financing accordingly.
At the same time, the market is shifting towards floating-rate structures anchored to T-bill yields, which transfer interest-rate risk from the investor to the issuer. Chișinău (1-year T-bills + 1.1 pp), Ceadîr-Lunga II (364-day T-bills + 1.5 pp), the 4-year class of the Costești issue (182-day T-bills + 0.5 pp) and the long classes of the 2026 offerings illustrate this transition. In shock periods the floating formula can make debt service considerably more expensive: in 2022–2023, when T-bill yields exceeded 23%, the coupon of the Chișinău issue climbed towards 25% per annum. Consequently, for investors the instrument has offered protection against inflation, while for issuers it represents a variable cost that requires prudent budget planning.
Credit bancar sau obligațiuni municipale?Bank loan or municipal bonds?
Two municipalities finance the same investment project, with an estimated return of 15% a year. Municipality A takes a bank loan at 7.5%, with a 6-month grace period and monthly instalments; Municipality B issues municipal bonds at 8.5%, with semi-annual coupons and the principal repaid at maturity, after 5 years. Who actually pays less? Change the assumptions and watch the result. Metodologie și convenții de calculMethodology and calculation conventionsМетодология и допущения расчёта
Creditul.
The loan. Interest is charged monthly on the outstanding balance (annual rate / 12). During the grace period only interest is paid; the principal is then repaid through annuities (equal monthly instalments) or equal principal instalments over the remaining months.
The bonds. The coupon is paid semi-annually on the full principal (annual rate / 2); the principal is repaid in full at maturity. Issuance costs (intermediation, registration, listing) are paid at issuance.
The project. The return is collected evenly every month (annual rate / 12 of the amount) over the whole period; the asset stays on the municipality's books in both scenarios, so the difference between the options comes exclusively from the financing cash flows.
Opportunity cost. The opportunity cost of the cash paid to creditors is the estimated return of the investment project (R). Every leu paid in month t is valued at what it would have earned, invested at rate R, until maturity. Total economic cost = value at maturity of the debt service − amount financed = interest + opportunity cost (+ issuance costs). All-in equivalent rate = (value at maturity / amount)1/years − 1 — the rate of a zero-coupon loan that would cost the same.
Inflation. Real rates follow the Fisher relation. Values "in today's lei" are deflated by (1 + inflation)years. Budget pressure compares the debt service of a steady-state year (year 2) with the project's annual return. The sinking fund is the constant annual contribution, compounded at R, that accumulates the principal by maturity.
The model is illustrative: it excludes collateral, bank fees, taxes and the refinancing risk at maturity. The base assumptions (7.5% / 8.5% / 15% / 6% / 6-month grace / 5 years) are those of the scenario described above.

Procesul

Faza I. Pregătirea (lunile 1–2)
Etapa 1Pregătiți proiectul
Faza I. Pregătirea (lunile 1–2)
Decide consiliul local.
Cât durează
câteva săptămâni, inclusiv consultarea publică.
Faza I. Pregătirea (lunile 1–2)

Faza II. Aprobările (lunile 3–5)
Etapa 4Obțineți avizul Ministerului Finanțelor
Obțineți avizul Ministerului Finanțelor.
A doua fază transformă proiectul într-o ofertă aprobată.

A treia fază aduce banii.
Dacă bugetul are bani în plus, analizați răscumpărarea anticipată, dacă prospectul o permite.

Bugetul primăriei, mil. lei pe an
Varianta A · o singură clasă

The experience of the nine issues of 2021–2026 is built into every stage.
The process
The municipal bond issuance process in four phases
From the local council's first decision to the money in the municipality's account, about six months usually pass. During this time the municipality goes through the nine stages in figure 1, grouped in four phases, and obtains the approvals of the local council, the Ministry of Finance and the CNPF. Some stages have no fixed place in the calendar. The project can be prepared and approved earlier, in another context, for example together with the budget, and the promotion of the issue can start as early as the first phases.

Who does what in the issue
Table 1. The participants in an issue and their roles
Who
What they do
The mayor and the municipality
Prepare the project and the documents, coordinate the process and communicate with residents. The mayor signs the contracts, the prospectus and the report on the results of the issue.
The local council
Adopts the initiation decision and the final decision, on contracting the debt. Approves the amount, the interest, the terms, the use of the money and the inclusion of the payments in future budgets.
The chief accountant
Calculates the borrowing capacity and the payment schedule. Provides for the interest and the repayment in the budget and keeps the debt records.
The procurement working group
Organises the procurement of the intermediary's services and, later, of the works financed from the issue.
The intermediary
A licensed investment firm, usually a commercial bank. It structures the issue, drafts the prospectus and, very importantly, identifies the investors and promotes the issue among them. It also sells the bonds and makes the payments to investors.
The Ministry of Finance
Checks whether the municipality can repay the loan and issues the mandatory clearance.
CNPF
Approves the prospectus and registers the results of the issue.
The Central Securities Depository (DCU)
Registers the bonds and keeps the records of the holders.
The Moldova Stock Exchange
Admits the bonds to trading, so that investors can sell them before maturity.
The investors
Individuals and companies, from the locality and from outside it. They buy the bonds, receive the interest and, at maturity, the amount invested.
The consultant
Accompanies the municipality at every step. In 2021–2026 this role was played by Expert-Grup, with the support of the Embassy of the Kingdom of the Netherlands.

The stages
The nine stages, step by step
Each stage says what to do, which documents you need, who is responsible, how long it takes and what municipalities learned from the issues so far.
Phase I. Preparation (months 1–2)
Stage 1Prepare the project
Prepare the project: anchor it in the development strategy or the investment plan, consult the residents and check the borrowing capacity.
The first phase prepares the ground: the project, the council's mandate and the intermediary. Preparing the project and assessing the borrowing capacity often happen earlier, in the budget cycle, so that the issue itself usually starts with the initiation decision. In 2026, between seven and eleven weeks passed from the initiation decision to the contract with the intermediary.
Bonds finance a concrete project that investors can see and follow. The clearer the project, the easier the clearance and the sale of the bonds.
The project does not have to be prepared specially for the issue. It and its cost can be approved in another context, for example together with the budget, and the technical documentation can be prepared independently of the issue. What matters is that the project is clearly anchored: included in the local development strategy or the investment plan and supported by residents.
What to do
Choose an investment included in the locality's development strategy or investment plan: roads, water and sewerage, lighting, public buildings or transport.
Consult the residents: present the project and the bond financing in public hearings and explain the cost, the risks and what the locality gains.
Prepare or update the technical documentation and the cost estimate. Prices from a few years ago are no longer realistic.
Set the financing plan: how much comes from bonds and how much from the budget, grants or residents' contributions.
Set the schedule of the works, so that the money arrives when execution starts.
Describe what residents gain: how many households are connected, how many kilometres of road are repaired, which costs fall.
Documents
the extract from the development strategy, the technical documentation or the feasibility study, the cost estimate and the financing plan.
Who is responsible
the mayor, the investment specialist and the chief accountant.
How long it takes
a few weeks, if the technical documentation exists. If the technical design has to be prepared, add a few months.
Borrowing capacity
The size of the issue depends on how much the budget can pay each year, not only on the cost of the project. The borrowing capacity is assessed annually, when the budget is drawn up, and is reflected in the debt management policy approved together with the budget (articles 47 and 48 of Law no. 419/2006). Before the issue, update the calculation with the payments for the new loan, to see whether you stay within the legal ceiling and how to spread the issue over time.
Take the budget revenues excluding special-purpose transfers, for the last three years and for each year in which the bonds are outstanding.
Add up the annual payments for existing debts: instalments, interest and fees.
Add the payments for the new loan: the annual interest and the amount repaid in the year of maturity.
Divide the payments by the revenues. The result must stay below 20% every year, including the year of repayment.
If the year of repayment exceeds the limit or comes close to it, split the issue into classes with different maturities (the structure of the issue at stage 3 and annex 2).
Documents
the budget execution reports, the approved budget, the budget forecast for the years the bonds are outstanding and the debt service table required by the Ministry of Finance.
Who is responsible
the chief accountant, helped by the intermediary or the consultant.
How long it takes
usually one or two weeks.
Phase I. Preparation (months 1–2)
Stage 2Adopt the initiation decision
Adopt the initiation decision in the local council, that is, the decision to carry out the project and to contract the debt.
The initiation decision is the local council's decision to carry out the project and to contract the debt. It gives the municipality the mandate to prepare the issue and to request the Ministry of Finance clearance, but it does not yet approve the interest and the prospectus, which come in the final decision, on contracting the debt (stage 5).
What to do
Discuss the project with the councillors in the specialised committees, before the meeting.
Prepare the draft decision and the explanatory note.
Submit the draft decision to public consultation, under Law no. 239/2008 on transparency in decision-making.
After adoption, publish the decision in the State Register of Local Acts, at actelocale.gov.md.
Documents
the draft decision, the explanatory note, the minutes of the consultations and the extract from the development strategy.
Who is responsible
the mayor and the council secretary. The local council decides.
How long it takes
a few weeks, including the public consultation.
Phase I. Preparation (months 1–2)
Stage 3Select the intermediary through public procurement
Select the intermediary through public procurement and set the structure of the issue with it.
The intermediary is the municipality's main partner in the issue. It structures the loan, prepares the prospectus together with the municipality, identifies the investors and promotes the issue among them.
What to do
Organise a public procurement of services, under Law no. 131/2015 on public procurement.
Require the bidders to be investment firms with a category B or C licence, as the CNPF Instruction provides (point 14).
Require experience on the capital market, a portfolio of investors, experience with issues and the CVs of the team.
Describe in the terms of reference all the services you need (the list below).
Award the contract on the best price-quality ratio, not on price alone.
Sign the financial services contract. It is part of the file for the Ministry and of the file for the CNPF.
Which services to ask of the intermediary
Structuring the issue: the debt service forecast, the timing of the issue, the classes, the maturities, the face value, the interest, the coupon frequency and the redemption terms.
Preparing the documents for the Ministry of Finance clearance.
Drafting the prospectus and obtaining the CNPF approval.
Identifying the investors and promoting the issue among them, the press announcements and the offering documents.
Running the offering, the settlements and the coupon payments, as paying agent.
Registering the results with the CNPF and the DCU and admission to the stock exchange.
Support after the issue, until repayment.

How long it takes
in 2026, between 7 and 11 weeks from the initiation decision to the signing of the contract.
The structure of the issue
The parameters decide how much you pay and how easily you sell the bonds. After signing the contract, set these parameters with the intermediary, based on the borrowing capacity calculation and the interest rates on the market.

14–30 days, with early closing if all the bonds are sold
Days for individuals
Whether the first days are reserved for individuals
The first two working days in Sireți, Ungheni and Leova
Early redemption
Whether the municipality can return the money earlier
Provided for in Sângera, which redeemed one class six months early, and in Ceadîr-Lunga in 2026
Fixed or variable? A fixed rate tells you from the start how much you pay. A variable rate falls when market rates fall, but rises when they go up. In Ceadîr-Lunga the variable coupon of the 2024 issue rose from 6.58% to 11.38% in six months.
For small municipalities, Expert-Grup recommends fixed rates or variable formulas with a cap, staggered maturities and annual reserves for repayment. In 2026 Ceadîr-Lunga tied its variable rate to deposit rates, which are less volatile than treasury bills.
How many classes? Several classes attract more investors and spread the repayment over several years. Investors usually accept terms of 2–3 years, because bonds are hard to sell before maturity.
What interest? The interest must be above that of government securities with the same term. In 2025–2026 fixed coupons were usually 1.8–2.2 percentage points above government bonds, and in Costești only 0.6 points. Check the current benchmarks on the websites of the NBM and the Ministry of Finance before setting the rate.
Who is responsible
the intermediary proposes the structure. The mayor and the chief accountant discuss it, and the council approves it in the final decision.
How long it takes
a few weeks, in parallel with preparing the file for the Ministry.
Phase II. Approvals (months 3–5)
Stage 4Obtain the Ministry of Finance clearance
Obtain the clearance of the Ministry of Finance.
The second phase turns the project into an approved offering. It involves three approvals: the Ministry of Finance clearance, the local council's decision to contract the debt and the CNPF's approval of the prospectus.
Without the Ministry of Finance clearance the issue cannot go on, and a loan contracted without clearance is void. The Ministry of Finance checks whether the municipality can repay and whether the loan complies with the law and the development plans.
What to do
Prepare the file under the Regulation on the procedure for contracting debt by the executive authorities of administrative-territorial units, approved by Government Decision no. 1136/2007.
Submit the file to the Ministry of Finance, with a cover letter signed by the mayor.
Answer the Ministry's questions and complete the file if asked.
Receive the Ministry's decision and the letter communicating it. The clearance is to be annexed to the prospectus.
What the file submitted by Leova in 2026 contained
The list of documents.
The application for clearance (annex no. 1 to the Regulation).
The model contract for placing securities on the domestic financial market.
The annual borrowing programme (form no. 14 to Ministry of Finance Circular no. 06/2-07-30 of 25 August 2025).
The objectives of the debt management policy.
The debt service table of the administrative-territorial unit (annex no. 2 to the Regulation).
The sworn statement on other debts, including overdue ones.
The extract from the socio-economic development strategy.
The local council decision on contracting the loan.
The financial services contract concluded with the intermediary.
The structure of the issue.
A copy of the applicant's signature.
The application describes the project, the total cost, the amount requested, the own contribution, the acceptable terms and the repayment schedule. The debt table shows, for the last three years and for each year of the loan, the debt payments, the revenues excluding special-purpose transfers and the ratio between them.
Who is responsible
the chief accountant prepares the file, the intermediary helps, the mayor signs. The Ministry of Finance decides.
How long it takes
the law sets no deadline. In Leova, in 2026, the decision came 16 days after the file was submitted, and the letter communicating it after another 11 days.
Phase II. Approvals (months 3–5)
Stage 5Draft the prospectus and adopt the decision to contract the debt
Draft the prospectus and adopt in the local council the decision to contract the debt, on the terms of the prospectus.
After the clearance, the municipality drafts the prospectus together with the intermediary. On its basis, the local council adopts the decision to contract the debt on the terms of the prospectus, called the final decision in this guide. It sets the exact terms of the issue and approves the prospectus, which is then submitted to the CNPF.
What to do
Draft the prospectus together with the intermediary, using the forms in the CNPF Instruction.
Prepare the draft decision together with the intermediary, based on the clearance and the prospectus.
Include the amount, the classes, the interest, the terms, the use of the money, the intermediary and the guarantee from the budget revenues.
Approve the prospectus, in particular the terms on which the debt is contracted, and authorise the mayor to sign it and send it to the CNPF.
Oblige the chief accountant to provide the money for interest and repayment in the following budgets.
If the current year's budget does not include the loan, approve the budget amendment as well.
Publish the decision in the State Register of Local Acts.
What the prospectus contains
The note to investors, the definitions, the description of the offering and the summary.
Information about the municipality: the responsible persons, the risk factors, data on the locality, public finances and any litigation.
The characteristics of the bonds: the interest, the terms of the offering, admission to trading and the guarantees.
The annexes: the council decisions, the Ministry's clearance, the financial reports for three years, the budget, the guarantee agreement from own revenues, the model offering announcement and the financial services contract.
Documents
the draft decision, the explanatory note, the Ministry's clearance, the prospectus and the debt service schedule.
Who is responsible
the intermediary drafts the prospectus, and the mayor and the intermediary prepare the decision. The local council decides.
How long it takes
in 2026, between three and six weeks after the clearance.
Phase II. Approvals (months 3–5)
Stage 6Obtain the CNPF's approval of the prospectus
Obtain the CNPF's approval of the prospectus.
The prospectus is the document on the basis of which investors decide whether to buy. The CNPF checks and approves it before the offering.
What to do
Pay the CNPF fees and attach the payment orders.
Together with the intermediary, submit to the CNPF the application and the required documents (the list below).
Answer the CNPF's observations and, if necessary, correct the prospectus together with the intermediary.
What to submit to the CNPF (point 37 of the CNPF Instruction)
The municipality's legal file: the founding act and the list of authorised signatures.
The council decision on the loan.
The Ministry of Finance clearance.
The current year's budget and the budget projection for the whole period the bonds are outstanding.
The budget execution reports for the last two years and the quarterly reports of the current year.
The Court of Accounts reports on the audit of the municipality for the last two budget years (if any).
The document with the clauses guaranteeing the loan from own revenues.
The prospectus drafted together with the intermediary.
The model public offering announcement (annex no. 6 to the Instruction).
The intermediation contract with the investment firm.
The contract with the Central Securities Depository.
The model subscription application (annex no. 7).
The draft subscription contract (annex no. 8).
The model application to revoke a subscription (annex no. 9).
The mayor's statement on significant changes to the budget.
The intermediary's statement that there is no conflict of interest.
The payment orders for the fees.
Who is responsible
the intermediary submits the file together with the municipality.
How long it takes
the CNPF decides within 30 working days at most (point 38). In 2026 the prospectuses were approved 11–21 days after the council decision.
Phase III. Public offering (months 5–6)
Stage 7Promote the public offering
Promote the public offering among residents, entrepreneurs and investors.
The third phase brings the money. In 2026 only four to five weeks passed from the approval of the prospectus to the registration of the results.
Promotion influences who buys the bonds and how quickly. An issue that is well explained and promoted can also attract the interest of local residents, not only of investors from outside the locality.
Promotion has no fixed moment. It can start as early as the previous phases, for example when the project is discussed with residents, and continues throughout the subscription. The most important role belongs to the intermediary, which identifies the groups of potential investors and promotes the issue among them.
What to do
Publish the offering announcement within 5 days of the approval of the prospectus (point 42 of the CNPF Instruction). Publish it in the specialised press and on the websites of the municipality and the intermediary.
Organise a public meeting with residents and local entrepreneurs, attended by the mayor, the intermediary and the consultant.
Explain simply what is being financed, how much the investor earns, when they receive the money and how they buy the bonds.
Say clearly that the interest received by individuals is not taxed.
Use the local press, social networks, radio and television. A leaflet or a short video helps a lot.
Invite the diaspora and local companies. In Costești, investors from Ialoveni district bought MDL 4.2 million of the MDL 4.5 million.
Documents
the offering announcement, the information materials and the press releases.
Who is responsible
the intermediary identifies the groups of potential investors and promotes the issue among them. The municipality presents the project to the local community.
How long it takes
start communicating a few weeks before the offering. In 2026 six days passed between the approval of the prospectus and the start of the subscription.
Phase III. Public offering (months 5–6)
Stage 8Carry out the issue
Carry out the issue: subscription and allocation, run by the intermediary, then the registration of the results and admission to the stock exchange.
Carrying out the issue covers the subscription and the allocation of the bonds, which the intermediary runs, then the registration of the results. The subscription is the period in which investors submit their applications and pay for the bonds. It starts no later than 60 working days after the approval of the prospectus (point 46).
How an investor buys
Submits the subscription application to the intermediary.
Pays the amount into the account indicated, usually within three working days at most.
May withdraw the application on the terms set in the prospectus.
How the subscription runs
The intermediary receives the applications and the payments from investors.
If all the bonds are subscribed before the deadline, the offering can be closed early, if the prospectus allows it.
The intermediary allocates the bonds according to the rule in the prospectus: for example "first come, first served" or pro rata.
If the success threshold is not reached, the issue does not take place, and investors get their money back in full (points 49 and 61–62).
The CNPF is notified of the results of the offering within 10 working days (point 56).
Who is responsible
the intermediary runs the subscription and the allocation.
How long it takes
14–30 days. In 2026 the subscription lasted 15 days in Ceadîr-Lunga, 23 days in Ungheni and 29 days in Leova.
Registering the results and admission to the stock exchange
The issue formally ends when the CNPF registers the results and the bonds are recorded in the investors' accounts. Only after registration with the DCU can the municipality use the money.
Approve the report on the results and the list of subscribers.
Submit to the CNPF the application to register the results within the deadline in the Instruction (point 58), with the six documents below.
Within 5 working days of registration at most, ensure the holders are registered with the Central Securities Depository (point 64).
Publish the announcement of the results, with the dates of issue, coupon payment and maturity.
Submit to the stock exchange the application for admission to trading, within the deadline in the prospectus. In Ungheni this was at most 10 working days from the registration in the holders' accounts.
Record the loan in the local debt register and report it to the Ministry of Finance (point 65).
What to submit to the CNPF (point 59 of the CNPF Instruction)
The application (annex no. 10).
The decision of the authorised body approving the report.
Confirmation that the subscribers have paid the money.
The report on the results of the issue (annex no. 11).
The list of subscribers (annex no. 12).
The payment orders for the fees.
Who is responsible
the intermediary prepares the documents, the mayor signs them, the chief accountant records the debt.
How long it takes
the CNPF examines the documents within 15 working days (point 60). In 2026 the results were registered 2–7 days after the end of the subscription.
Phase IV. Repayment (2–4 years)
Stage 9Pay the interest on time and repay at maturity
Pay the interest on time and redeem the bonds at maturity.
After the issue comes the use of the money and the payment of the debt. From the issue's perspective, the essential stage of this phase is repayment: paying the interest on time and the amount borrowed at maturity. How you manage it determines investors' confidence at the next issue.
Paying the coupons and the final amount on time is the municipality's most important promise. The law gives these payments priority over other expenses of the local budget.
What to do
Include in every annual budget the interest and, in the year of maturity, the amount to be repaid.
Transfer the money to the paying agent (which may be the same as the intermediary) before the coupon date, within the deadline in the contract.
Prepare the year of repayment in good time. Set money aside or plan a refinancing, which the law allows.
If the budget has spare money, consider early redemption, if the prospectus allows it.
After the last payment, ask for the bonds to be removed from the CNPF register (points 71–72 of the CNPF Instruction).
Documents
the payment schedule, the contract with the paying agent and the payment orders.
Who is responsible
the chief accountant plans and pays. The paying agent transfers the money to investors.
How long it takes
the whole period the bonds are outstanding, usually 2–4 years.
Phase IV. Repayment (2–4 years)
After the issueGood practices after the issue
Using the money and reporting are no longer stages of the issue itself, but investors' confidence and the success of the next issues depend on them.
Use the money only for the project in the decision and the prospectus and keep separate records of the expenses financed from bonds.
Organise the procurement of the works in good time, so that execution starts right after the issue, but do not start works you cannot pay for if the issue is delayed. Leova launched the tender for the works in June 2026, in parallel with preparing the issue.
If the use of the money has to change, inform the CNPF, the intermediary and the investors in good time.
Comply with the disclosure obligations towards the CNPF and the stock exchange, under the prospectus and the exchange rules.
Assess what went well and what did not, before deciding on a new issue.
Plan the next issue with the project documentation ready.
Before you start
What municipal bonds are, what the law says and whether the municipality is ready
What municipal bonds are and when they are worth using
A municipal bond is a loan that the municipality takes from many investors at once, through the capital market. Each investor buys one or more bonds. The municipality pays them interest periodically, called a coupon, and returns the amount invested at maturity.
A resident buys 10 bonds and pays MDL 10,000.
Every six months they receive MDL 500, that is MDL 3,000 over three years.
At the end of the third year they get the MDL 10,000 back.
The municipality pays investors MDL 500,000 a year in interest and returns the MDL 5 million at maturity.
Between 2021 and 2026, seven municipalities raised MDL 112 million this way, through nine issues. All the issues were fully subscribed, and the first two have already been repaid on time.
How they differ from a bank loan
Table 3. Bank loan and municipal bonds, by criterion
Criterion
Bank loan
Municipal bonds
Who you borrow from
A single bank.
Many investors: residents, companies, banks and other investors.
How you repay
Usually in instalments, which from the first months include part of the amount borrowed.
You pay only the interest and return the amount borrowed at maturity.
Frequency of payments
Monthly.
Varies with the prospectus. Most often quarterly or semi-annually.
How the interest is set
By negotiation with the bank.
In the prospectus, as a fixed or variable rate, depending on the market.
Which approvals you need
The local council decision and the Ministry of Finance clearance.
The local council decision, the Ministry of Finance clearance and two CNPF approvals.
How long the preparation takes
Less, but the Ministry of Finance clearance remains mandatory.
About six months from the initiation decision.
Which extra costs you have
The bank's fees.
The intermediary's fee, the CNPF, DCU and stock exchange fees, the publications and the promotion.
What the community gains
The financing of the project.
The financing of the project. In addition, residents can invest in their own locality, and the municipality becomes known to investors.
Bonds can be cheaper than a loan. In 2021 the bonds of the municipality of Ceadîr-Lunga cost 6.7% a year of the average amount available, compared with 10.5% for a comparable loan. The difference comes mainly from the loan's monthly repayments, which reduce the money available (Expert-Grup, 2024). It is not the interest rate that makes the difference, however, but the fact that over the life of the bonds the municipality pays only the interest, with the principal repaid at maturity, which gives the municipality more cash-flow advantages (for example, instead of starting to return the principal, the municipality pays only the interest, and the free resources can be invested).
When it is worth it and when it is not
Bonds are suitable when:
You have a clear investment project, with technical documentation and a cost estimate.
The project is demanded by residents and included in the locality's development strategy.
The budget can pay the interest every year and the amount borrowed at maturity.
Postponing would make the project more expensive. In Sângera, the water supply network built in 2021–2022 would have cost about twice as much in 2023.
It is sometimes advantageous when you need the own contribution to a grant-financed project. With the MDL 8 million of 2026, Ceadîr-Lunga co-financed projects for which it attracted about MDL 62 million in grants.
Bonds are not suitable when:
You want to cover salaries, maintenance or other current expenses. The law allows long-term borrowing only for investments included in development programmes or for refinancing debt (article 15 of Law no. 397/2003 and article 45 of Law no. 419/2006).
You need money only until some revenues come in within the same year. For temporary cash gaps the law provides for short-term loans (article 14 of Law no. 397/2003).
The project does not yet have technical documentation or you do not know what it costs.
The municipality has overdue debts or its debt payments are close to the legal ceiling. The details are in section 2.
Market interest rates are very high. At the end of 2022, when treasury bills yielded over 20%, no municipality issued bonds.
Bonds also bring gains that do not show in the budget. Residents become investors in their own locality and follow more closely how the money is spent. The municipality's staff learn to plan over several years and to work with the capital market.
The basic rules of the law, explained simply
Every issue must follow a few simple rules, set by four pieces of legislation. You can find them on legis.md, in the version in force:
Table 4. The basic rules of an issue and their legal basis
Rule
What it means for the municipality
Legal basis
The money goes only into investments
The municipality may borrow long term only for construction, reconstruction, capital repairs, equipment or public transport included in development programmes, and to refinance existing debt. Salaries and maintenance cannot be paid from bonds.
Law no. 397/2003, article 15 (1) and (3). Law no. 419/2006, article 45
The local council decides
The council approves the loan. The decision sets the amount, the interest, the instrument, the term, the use of the money and the other payments related to the loan.
Law no. 419/2006, article 46 (2)
The Ministry of Finance clearance is mandatory
The Ministry checks whether the municipality can repay the loan and whether it complies with the law, the debt management policy and the development plans. A long-term loan contracted without clearance is void.
Law no. 419/2006, article 46 (4)–(6). CNPF Instruction, point 10.4
The 20% ceiling
Annual payments to service all debts, including the new loan, cannot exceed 20% of annual revenues excluding special-purpose transfers. For Chișinău and Bălți the ceiling is 30%.
Law no. 397/2003, article 15 (4) and (5)
No overdue debts
A municipality with overdue debts cannot contract new loans, except for restructuring those debts.
Law no. 419/2006, article 46 (7). CNPF Instruction, point 10.6
The municipality alone is liable
The loan is repaid from the general-purpose revenues of the local budget, that is, excluding special-purpose transfers. The state does not guarantee the municipality's debt. Contracts without this clause are void.
Law no. 397/2003, article 15 (2), article 16 (1) and (3). Law no. 419/2006, article 44. CNPF Instruction, point 10.5
Debt is paid first
Interest and repayments take priority over other payments of the local budget, regardless of the amount approved in the budget.
Law no. 397/2003, article 16 (2)
The debt plan is part of the budget
The annual borrowing programme and the objectives of the debt policy are approved together with the local budget. The debt ceilings are set there too.
Law no. 419/2006, articles 47 and 48
Investors pay in full
Investors pay for the bonds only in money and in one go. Payment in instalments is not allowed.
CNPF Instruction, point 12
The offering goes through an intermediary and a prospectus
The bonds are sold only through an investment firm with a category B or C licence. The prospectus must be approved by the CNPF before the offering.
Law no. 171/2012. CNPF Instruction, points 14 and 21–38
Records at the DCU, trading on the exchange
The bonds are registered with the Central Securities Depository. After the issue, the municipality applies for their admission to trading on the stock exchange.
CNPF Instruction, points 64 and 67. Law no. 234/2016 on the Central Securities Depository

Costs and risks
What an issue costs and which risks to prevent
What an issue costs and how to reduce the costs
An issue has two types of costs: the interest paid to investors and the costs of preparation and execution. Interest is the largest part, but the fixed costs matter a lot for small issues.

What we know from practice
Interest
The investors
Fixed coupons were 7.5–9% in 2025 and 9.5–10% in 2026. For MDL 5 million over three years at 10%, the total interest is MDL 1.5 million.

How much in total. Expert-Grup estimates the fixed costs of a MDL 9–10 million issue at about 0.8–1% of the amount. For a MDL 3 million issue, the same costs can reach about 3%.
Who has paid so far. For the 2024–2026 issues, the fixed costs were covered by Expert-Grup's support projects, funded by the Kingdom of the Netherlands. A municipality that issues without such support must provide for these costs in its budget.
Compare with a loan. In 2021, in Ceadîr-Lunga, the fee was MDL 12,000 for the bonds, compared with MDL 27,100 for the loan analysed as an alternative (Expert-Grup, 2024). The file submitted by Leova to the Ministry in 2026 also included a note comparing the two options.
How to reduce the costs
Choose the intermediary through a competition, on the quality-price ratio of the bid, and tie the payment to the success of the issue.
Use as models the prospectuses and decisions already approved in other localities.
Prepare the documents well, to avoid corrections and delays.
Choose the moment: issue when interest rates on the financial market are stable or falling.
Split the issue into classes. Short-term classes usually have lower interest, for example 9.5% over two years versus 10% over three years in 2026.
Redeem early when the budget has spare money and the prospectus allows it.
Common risks and how to prevent them
So far no municipality has been late with a coupon payment, but the risks exist. For the municipality three matter most: incomplete sale, rising interest rates and the year of repayment.
Table 8. Common risks and their prevention
Risk
What can happen
How to prevent it
The bonds do not sell in full
If you do not reach the success threshold, either the issue does not take place and investors get their money back, or the municipality will revise the budget of the investment project (if that is possible).
Promote in good time, offer a competitive interest rate and set a realistic threshold, for example 2/3. Agree with the intermediary on the possibility of it subscribing the bonds not bought by investors.
Interest rates rise before the launch
The interest in the prospectus no longer attracts investors.
Set the interest close to the launch, with the intermediary. Avoid periods of very high rates, as at the end of 2022.
The variable rate rises
The coupons become more expensive than you planned. In Ceadîr-Lunga the coupon rose from 6.58% to 11.38% in 2025.
Prefer a fixed rate or a formula with a cap. Budget with a safety margin.
The peak in the year of repayment
Debt payments come close to the 20% ceiling.
Stagger the maturities over several classes and set money aside every year.
Revenues fall
The budget covers the interest and the repayment with more difficulty.
Calculate prudently and keep a reserve. Do not take on other debts without a new calculation.
The works are delayed or get more expensive
The money sits unused or is not enough for the whole project.
Prepare the documentation and the procurement of the works in good time. Provide a reserve for unforeseen expenses.
Local elections
A change of leadership may postpone the issue or the project.
Plan the issue away from elections.
The bonds are hard to sell on the exchange
Investors cannot sell them before maturity, so they ask for short terms.
Apply for admission to the exchange on time, choose terms of 2–3 years and provide for early redemption.
Errors in the documents
The Ministry of Finance or the CNPF ask for corrections, and the issue is delayed.
Check that all the documents have the same figures and the same references to the law.
Reputation
A late payment or a misuse of the money affects the municipality and the market as a whole.
Pay on time, report publicly and communicate openly.
The team cannot cope
The documents and the communication are delayed.
Appoint a person in charge and a team. Use the support of the intermediary and of a consultant.
The risks for investors are described in the prospectus, in the section on risk factors. Read it together with the councillors before the vote, so that the decision is taken with full knowledge.
Frequently asked questions
The questions municipalities ask
Can a small municipality issue bonds?
Yes. The village of Sireți issued MDL 3 million in 2025, and the village of Costești MDL 4.5 million. What matters is the project, the capacity to pay and the team, not the size of the locality.
Who can buy the bonds?
Any individual or legal entity, resident or non-resident: residents, the diaspora, companies and banks. Some prospectuses reserve the first two days for individuals.
Does the state guarantee the bonds?
No. The debt belongs to the municipality alone and is paid from the revenues of the local budget, excluding special-purpose transfers (article 16 of Law no. 397/2003 and article 44 of Law no. 419/2006). The law does, however, give debt payments priority over other expenses.
What happens if not all the bonds are sold?
If you sell at least the threshold in the prospectus, the issue takes place for the amount sold, and you cover the difference from other sources. If you do not reach the threshold, investors get their money back in full.
What interest should we offer?
One that matches investors' demand.
How large can the issue be?
As large as the 20% ceiling allows every year, including the year of repayment. The 2021–2026 issues were MDL 3–10 million in small municipalities and MDL 65 million in Chișinău.
Is tax paid on the interest?
Individuals pay no tax on the interest from bonds of local public authorities (article 20 letter z20) of the Tax Code). Legal entities pay tax under the general rules.
Can we repay earlier?
Yes, if the prospectus provides for early redemption. Sângera did so in 2023, and Ceadîr-Lunga provided for it in 2026, with at least 15 days' notice.
Can we change the project after the issue?
It is not recommended, because the money is earmarked for the project in the decision and the prospectus. If a change becomes unavoidable, discuss it first with the intermediary and the CNPF.
Can we issue again before repaying the first issue?
Yes, if the payments to service all debts stay below the 20% ceiling. Ceadîr-Lunga issued in 2026, and its 2024 issue is repaid in 2027.
What do we do if market interest rates rise a lot?
Postpone the issue or choose shorter terms. At the end of 2022, when the Ministry of Finance's treasury bills yielded over 20%, no municipality issued.
Can investors sell their bonds before maturity?
Yes, through the stock exchange, after admission to trading, if they find buyers. In practice transactions are rare and the secondary market is still practically non-existent, so most investors keep the bonds until maturity.
Do we need a consultant?
The law does not require one. However, the municipalities of 2021–2026 had Expert-Grup's support at every step, and this was one of the success factors.
How long does the whole process take?
About six months from the initiation decision to receiving the money.

Calculate the debt service for your municipality
The example shows how the same amount, split into two classes, reduces the peak of payments and the cost of interest. The figures are hypothetical, but the interest rates are close to those of 2026. The starting values are those of the guide’s example. Replace them with your municipality’s figures.
Municipal budget, MDL million a year
Option A · a single class
Option B · two classes
Annual payments and the share of all debts in revenues
Year
A: bond payments, MDL million
A: all debts, % of revenues
B: bond payments, MDL million
B: all debts, % of revenues
Annual payments include the interest on the classes outstanding and the repayment of the class that matures, plus the payments on existing debts. The percentage is calculated against revenues excluding special-purpose transfers, under article 15 of Law no. 397/2003.
The guide’s example, explained
How year 3 is calculated in option A: MDL 0.5 million of interest, plus MDL 5 million of repayment, plus MDL 0.5 million of existing debts, that is MDL 6 million. Divided by MDL 40 million, this gives 15%.
Option B costs MDL 1.28 million in interest, compared with MDL 1.5 million in option A. In addition, the peak falls from 15% to 9.5%, which leaves the budget more room for the unexpected.
The variable rate, on a real example. In Ungheni, the four-year class pays interest equal to the average of 182-day treasury bills at four auctions, plus 0.5 percentage points. The first coupon was 10.46%, that is 9.96% plus 0.5. If the average of the bills rose to 12%, the rate would become 12.5%, and on MDL 2 million the annual payment would rise from about MDL 209,000 to MDL 250,000.

Annex 3. What the local council decision usually contains
The council usually adopts two decisions: an initiation decision and a final one. The structure below follows the model used in Leova and the final decision of the municipality of Ceadîr-Lunga of 2026. Adapt it with the municipality's lawyer.
The initiation decision
Legal basis cited in practice: article 14 of Law no. 436/2006 on local public administration, Law no. 181/2014 on public finances and fiscal responsibility, article 15 of Law no. 397/2003, articles 44, 45 and 46 of Law no. 419/2006 and Government Decision no. 1136/2007.
The initiation of the procedures to contract a long-term loan through a bond issue, in an amount of up to X lei, is approved.
The use of the money is set: the exact name of the project and its cost.
The issue is carried out under Law no. 171/2012 and CNPF Decision no. 18/1 of 13.04.2018.
The municipality contracts the intermediary, a licensed investment firm.
The mayor is authorised to obtain the Ministry of Finance clearance and to sign the necessary documents.
A budget amendment is provided for, if needed.
Control of execution rests with the mayor.
The decision is published in the State Register of Local Acts.
The explanatory note explains why this instrument was chosen and the next stages: the transparent selection of the intermediary, the Ministry's clearance, the prospectus and the issue.
The final decision
The preamble cites the initiation decision and the Ministry of Finance clearance, with their number and date.
The parameters of the issue: the total amount and the amount per class, the interest or its formula, the terms and the projects financed.
Placement through the intermediary, which is also the paying agent.
Approval of the prospectus and its submission to the CNPF.
Authorisation of the mayor to sign the prospectus and the report on the results.
Authorisation of the mayor to sign the contracts with the paying agent, the investors, the Central Securities Depository and the stock exchange.
Authorisation of the intermediary to receive the documents from the CNPF.
Guarantee of the payments from the revenues of the local budget.
The legal framework of the issue: Law no. 171/2012 and CNPF Decision no. 18/1/2018.
The chief accountant's obligation to provide in future budgets the money to service the debt, until full repayment.
Informing the population through the local press.
Control of execution.
Publication in the State Register of Local Acts.
The annex to the decision describes the bonds: face value, dematerialised form, success threshold, holders' rights, early redemption and the guarantee.
The explanatory note shows how the intermediary was chosen and the date of the contract, the debt service schedule by year and who covers the costs of the issue. It also mentions the review by the council's committees (article 32 of Law no. 100/2017 on normative acts) and whether an anti-corruption expertise is needed.

Ce sunt obligațiunile municipaleWhat municipal bonds areЧто такое муниципальные облигации
01Cum funcționeazăHow they workКак это работает
A municipal bond is a loan you grant to a local government: you buy securities with a face value (usually MDL 1,000; at Costești — MDL 100), you periodically receive interest called a coupon (usually semi-annual), and at maturity — after 2, 3, 4 or 7 years — the municipality repays your investment in full.
The interest can be fixed, set at issuance, or floating — periodically recalculated from a reference rate, most often the yield of government securities (T-bills), plus a fixed margin.

The bond issues finance concrete investment projects — roads and sidewalks, water supply, sewerage and treatment plants, trolleybuses — for which bank credit is often more expensive or more rigid. The money comes directly from citizens and companies, and the community becomes the creditor of its own infrastructure.
All nine issues to date have been fully subscribed, several of them ahead of schedule — a sign of solid demand.
03Cum poți investiHow you can invest
Subscription takes place during the public offering, through the issue's financial intermediary — so far, Victoriabank or MAIB — with an ID and an account opened with the intermediary. A minimum investment of MDL 5,000 (5 bonds) was set only for the 2026 issues of Ungheni and Leova.
For individuals, interest on bonds issued by local public authorities is tax-exempt, and the securities can later be traded on the Moldova Stock Exchange (and, possibly from December 2026, on the Moldova International Exchange — BIMx).
04Ce riscuri existăWhat the risks areКакие есть риски
The main risks are: credit risk — the municipality's capacity to pay coupons and principal from the local budget; interest-rate risk — with floating coupons, interest falls together with T-bill yields; and liquidity risk — the secondary market is still shallow, so selling before maturity can be difficult.
The track record so far is positive: the first issues (Sângera, Ceadîr-Lunga I) were repaid in full, with no payment delays.
